Introduction
These Terms of Use ("Terms") are a binding agreement between you and TRINITY Trade LLC ("TRINITY", "we", "us"). They govern your access to and use of the TRINITY IRIS web application and related TRINITY services, including platform components and APIs such as Atlas, Hermes, Athena, and Dionysus, and any other services we make available from time to time (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. You may not use the Services if you are barred under applicable laws or located in comprehensively sanctioned jurisdictions.
Accounts
- Registration: Provide accurate, complete information and keep it updated.
- Security: You are responsible for safeguarding your credentials and all activity under your account.
- Ownership: Accounts are for a single user; no sharing or transfer without permission.
Acceptable Use
- No unlawful use; comply with these Terms and applicable laws.
- No interference with or degradation of the Services or their security.
- No scraping, crawling, or harvesting without written consent.
- No reverse engineering, decompilation, or attempts to bypass technical controls except as permitted by law.
- No unauthorized security testing; use responsible disclosure with prior written authorization.
- No misrepresentation that outputs constitute investment advice or guarantees.
- No use that violates exchange/venue rules or constitutes market manipulation.
No Investment Advice; Risks & Backtesting
TRINITY is not a registered investment adviser, broker‑dealer, or fiduciary. The Services are provided for educational and informational purposes only and are not investment, financial, legal, or tax advice. You are solely responsible for decisions and outcomes.
Backtested and hypothetical results have limitations and do not reflect actual trading. Past performance—real or simulated—does not guarantee future results.
Subscriptions, Trials, and Billing
We may offer paid subscriptions or trials in the future (in U.S. dollars) and may use third‑party payment processors such as Stripe to bill you. If you enroll in a paid plan:
- Auto‑renewal: Subscriptions auto‑renew at the then‑current rate unless you cancel before renewal.
- Trials: Trial periods convert to a paid plan unless cancelled before the trial ends.
- Cancellation: You may cancel at any time; access continues until the end of the then‑current term.
- Refunds: Except where required by law, fees are non‑refundable once a term begins.
- Taxes: You are responsible for applicable taxes; we may charge and remit where required.
- Late/Failed Payments: We may suspend or terminate access for non‑payment.
Service Availability, Status & SLA
We strive for high availability and publish component health on our Status page. Status information is informational only. Unless expressly agreed in a separate signed SLA, the Services are provided “as is” without a service‑level guarantee.
Third‑Party Services
The Services may rely on or interoperate with third‑party services and subprocessors (e.g., Google Cloud, Firebase Authentication, Google Analytics). Their terms and policies may apply. We do not control third‑party services and are not responsible for their acts or omissions.
User Content
You retain ownership of portfolios, watchlists, and other content you submit (“User Content”). You grant TRINITY a worldwide, non‑exclusive license to host, process, and display User Content solely to provide and improve the Services. You represent that your User Content and its use with the Services does not violate any law or third‑party rights. We may remove content that violates these Terms.
Intellectual Property
The Services, including software, models, algorithms, designs, trademarks, and content, are owned by TRINITY or its licensors and are protected by law. We grant you a limited, revocable, non‑transferable license to access and use the Services for your personal or internal business purposes in accordance with these Terms. We reserve all rights not expressly granted.
Feedback: If you provide ideas, suggestions, or feedback, you grant TRINITY a perpetual, irrevocable, worldwide, royalty‑free license to use and incorporate them without restriction or compensation to you.
Privacy & Data
Our Privacy Policy explains how we collect and use information, including anonymized analytics and data residency practices. We may use aggregated or de‑identified information to operate, analyze, and improve the Services.
Security & Responsible Disclosure
We employ reasonable administrative, technical, and physical safeguards. Do not perform security testing that could harm the Services. To report a vulnerability, contact info@trinitytrade.io. We may permit coordinated disclosure at our discretion.
Copyright & DMCA
If you believe content infringes your copyrights, contact our agent at info@trinitytrade.io with a notice meeting 17 U.S.C. §512 requirements.
Compliance, Export & Sanctions
You must comply with all applicable laws, including export control and sanctions laws. You may not use the Services if you are located in, or are a person or entity listed on, any sanctions list or in a comprehensively sanctioned country.
Suspension & Termination
We may suspend or terminate access for actual or suspected violations of these Terms, non‑payment, or risk to the Services or users. You may stop using the Services at any time. Upon termination, your license ends, but provisions that by their nature should survive (e.g., IP, disclaimers, limitations of liability, disputes) will survive.
Changes to These Terms
We may update these Terms from time to time. We will post the updated version with an effective date and, when changes are material, provide additional notice (e.g., in‑product or email). Your continued use after the effective date constitutes acceptance of the updated Terms.
Indemnity
You will defend, indemnify, and hold harmless TRINITY and its affiliates, officers, and employees from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable law.
Disclaimers & Limitation of Liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRINITY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. TRINITY’S TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) FEES PAID IN THE PRIOR 12 MONTHS OR (B) USD $100.
Governing Law & Dispute Resolution
These Terms are governed by U.S. federal law and, where state law applies, by the laws of the state of TRINITY’s principal place of business, without regard to conflicts rules. Binding individual arbitration and a class‑action waiver apply unless you opt out within 30 days of first acceptance. Either party may seek injunctive relief or bring an individual small‑claims action where permitted.
